Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the PayFlip mobile application (the "App" or "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the App.

We may update these Terms from time to time. When we do, we will update the version and effective date above, and we will ask you to re-accept inside the App before you can continue. Your continued use after accepting an update constitutes acceptance of the new Terms.

2. What PayFlip Is

PayFlip is a non-custodial mobile application that lets you send and receive digital assets using an embedded smart wallet provisioned by our authentication partner, Privy. Transactions are routed across supported blockchains and may involve bridging across chains and tokens.

Key facts:

  • PayFlip does not custody your wallet keys. The signing material is held by Privy in a secure environment tied to your email login.
  • Network gas fees are sponsored by PayFlip via Alchemy's gas manager. You do not need to hold native chain tokens (MATIC, ETH, BNB, etc.) to make sends.
  • Token-to-USD prices are sourced from third-party providers (e.g. CoinGecko) and may differ slightly from other trackers.
  • On-chain transactions are final once confirmed and cannot be reversed.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use PayFlip. You must have the legal capacity to enter into a binding contract.

You may not use PayFlip if you are located in, ordinarily resident in, or a national of any jurisdiction subject to comprehensive economic sanctions, including those administered by the United States Office of Foreign Assets Control (OFAC). PayFlip may decline to provide services in any jurisdiction or to any user where doing so would conflict with applicable law.

By accepting these Terms, you represent and warrant that you meet these eligibility requirements.

4. Your Account and Security

Your PayFlip account is tied to the email address you use to sign in. The email account is the sole recovery path for your wallet. If you lose access to your email, you may permanently lose access to your wallet and any funds it holds.

You are responsible for:

  • Securing your email account, including enabling 2-factor authentication with your email provider.
  • Securing your device with a passcode and enabling App Lock (Face ID / Touch ID / passcode) inside PayFlip.
  • Never sharing one-time verification codes (OTPs) with anyone, including people claiming to be PayFlip support. We will never ask for your OTP.
  • Reviewing transaction details carefully before sending. Blockchain transactions, once confirmed, cannot be undone by us, Privy, Alchemy, or any other party.

5. Risks You Accept

Digital assets carry significant risk. By using PayFlip you acknowledge and accept the following:

  • Volatility: digital asset values can change rapidly. PayFlip is not responsible for losses caused by price movements.
  • Irreversibility: once a transaction confirms on a blockchain it cannot be reversed, reissued, or refunded by anyone.
  • Network risk: blockchains and bridges may suffer congestion, downtime, forks, re-orgs, or smart-contract failures outside our control.
  • Third-party risk: PayFlip relies on Privy (authentication, wallet provisioning, signing), Alchemy (gas sponsorship, bundling, RPC), CoinGecko (pricing), Firebase Cloud Messaging / Apple Push Notification service (notifications), Google or Apple (OAuth login), and other underlying providers. An outage, security incident, or change of terms at any of these providers may affect your ability to use PayFlip.
  • Loss of access: losing access to your email means losing access to your wallet. PayFlip cannot recover wallets or funds in that event.
  • Wrong recipient: you are responsible for verifying recipient addresses or PayFlip handles before sending. We cannot reverse a send to the wrong recipient.

6. Non-Custodial Nature

PayFlip does not hold custody of your funds or signing keys. Your wallet is a smart account whose signer is held by Privy in a secure environment under their custody arrangements. PayFlip is the application interface that orchestrates user operations, gas sponsorship, and cross-chain routing on your behalf, but PayFlip itself cannot move your funds without a user operation that you initiate.

Nothing in PayFlip constitutes a bank account, deposit account, money-transmission service, exchange service, broker-dealer service, investment-advisory service, or any other regulated financial service unless explicitly stated. PayFlip does not provide tax, legal, or investment advice.

7. Prohibited Uses

You may not use PayFlip to:

  • Violate any law, regulation, or sanctions regime.
  • Send or receive funds in connection with money laundering, terrorist financing, fraud, or any other illegal activity.
  • Send funds to or receive funds from any individual, entity, or address on a sanctions or denied-parties list.
  • Attempt to reverse-engineer, decompile, or otherwise circumvent technical protections of the App.
  • Use any automated means to access the App in a way that interferes with its operation.
  • Impersonate another person or misrepresent your affiliation with a person or entity.
  • Use the App in any way that infringes our or any third party's intellectual-property rights.

PayFlip reserves the right to refuse service, suspend access, or terminate accounts that we reasonably believe are engaged in prohibited activity.

8. Fees

PayFlip charges a platform fee on each send, displayed in US dollars in the send screen before you confirm. Where a send requires bridging across chains, a bridge fee covers the third-party bridging service used.

Gas (the cost paid to the underlying blockchain for executing your transaction) is sponsored by PayFlip via Alchemy's gas manager and is not separately charged to you. We may change or remove gas sponsorship in the future. If we do, we will update these Terms and the fee disclosures in-app before the change takes effect.

All fees are non-refundable once a transaction has been submitted to the network.

9. Intellectual Property

The App and its content, including but not limited to source code, design, logos, text, graphics, and trademarks, are owned by PayFlip or its licensors and are protected by intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the App.

10. Disclaimers

THE APP AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, THAT TRANSACTIONS WILL ALWAYS COMPLETE SUCCESSFULLY, THAT FEES OR EXCHANGE RATES SHOWN WILL BE THE CHEAPEST AVAILABLE, OR THAT ANY THIRD-PARTY PROVIDER WILL CONTINUE TO OFFER SERVICES ON CURRENT TERMS.

Nothing in these Terms shall exclude or limit any liability that cannot be lawfully excluded or limited.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PAYFLIP AND ITS AFFILIATES, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; OR ANY LOSS ARISING FROM THE FAILURE, ACT, OR OMISSION OF ANY THIRD-PARTY PROVIDER (INCLUDING PRIVY, ALCHEMY, COINGECKO, GOOGLE, APPLE, OR ANY BUNDLER, BRIDGE, OR BLOCKCHAIN NETWORK).

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE APP IN ANY 12-MONTH PERIOD EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO PAYFLIP DURING THAT PERIOD, OR (B) ONE HUNDRED US DOLLARS (US$100).

12. Indemnification

You agree to defend, indemnify, and hold harmless PayFlip, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual-property right or privacy right; or (d) any transaction you initiate through the App.

13. Termination

You may stop using PayFlip at any time. We may suspend or terminate your access to the App if we reasonably believe you have violated these Terms, if required by law, or if continuing service would expose PayFlip or other users to undue risk.

Termination of access to the App does not, by itself, transfer or freeze on-chain assets associated with your wallet. Provided you still have access to your email and a compatible authentication method, you may continue to access the underlying smart wallet through Privy's tooling.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which PayFlip is established, without regard to conflict-of-laws principles. Specific governing law, venue, and dispute-resolution mechanics (including any mandatory arbitration or class-action waiver) will be set out in the final, legally-reviewed version of these Terms.

Until that final version is in effect, the parties agree to attempt in good faith to resolve any dispute informally by contacting support@payflip.xyz.

15. Changes to These Terms

We may update these Terms at any time. When we do, we will increase the version number and effective date at the top of this document. The next time you open the App after a change, you will be asked to review and re-accept the new Terms before you can continue. If you do not accept, you will not be able to continue using the App, though your existing wallet and on-chain assets remain accessible through Privy's tooling.
